TERMS OF USE

  1. INTRODUCTION AND ACCEPTANCE

    These Terms of Use (“Terms”) govern access to and use of the website, platforms, services, and programs operated by ST Planet Foundation (“ST Planet,” “the Foundation,” “we,” “our,” or “us”). The Foundation is a nonprofit charitable organization incorporated in the State of Delaware, United States, and recognized as a tax-exempt organization under Section 501(c)(3) of the Internal Revenue Code.

    The Foundation carries out its charitable and environmental initiatives either directly or through collaborations with third-party nonprofit organizations and implementing partners responsible for on-ground execution of projects.

    These Terms apply to all individuals and entities worldwide who access the Foundation’s website, make donations, participate in environmental initiatives, or otherwise interact with the Foundation or its implementing partners.

    By accessing or using the Foundation’s services, you acknowledge that you have read, understood, and agree to be bound by these Terms and the Foundation’s Privacy Policy. If you do not agree, you must discontinue use immediately.

  2. ELIGIBILITY AND USER REPRESENTATIONS
    1. By using the Foundation’s services, you represent and warrant that you have the legal capacity to enter into a binding agreement under applicable law. Where you act on behalf of an organization, you further represent that you are authorized to bind such organization to these Terms. You agree that all information provided is accurate, complete, and not misleading.
    2. You further agree to comply with all applicable laws and regulations, including those relating to charitable contributions, anti-money laundering, sanctions compliance, and any local legal requirements applicable to participation in programs implemented through third-party partners.
  3. NATURE AND SCOPE OF SERVICES
    1. The Foundation operates as a nonprofit entity dedicated to advancing environmental and sustainability-focused initiatives, including tree plantation, ecosystem restoration, community engagement, and environmental awareness.
    2. Such initiatives may be implemented either directly by the Foundation or through third-party implementing partners, which may be responsible for field-level execution, monitoring, maintenance, and reporting of projects. Accordingly, users acknowledge that certain aspects of the services, including project delivery and outcomes, may be dependent on the operational practices, capabilities, and local conditions applicable to such implementing partners.
    3. While the Foundation endeavors to ensure transparency and effectiveness, environmental outcomes may vary due to ecological, climatic, regulatory, and operational factors beyond the reasonable control of the Foundation.
  4. USER CONDUCT
    1. Users agree to use the Foundation’s website and services in a lawful, responsible, and compliant manner and shall not engage in any activity that interferes with, disrupts, or compromises the functionality, security, integrity, or lawful operation of the website, related systems, services, campaigns, or transactions.
    2. Users shall not submit false or misleading information, attempt unauthorized access, introduce malicious code, engage in fraudulent activities or transactions, or use the platform in violation of applicable international, national, state, local, or other applicable laws or regulations.
    3. Services may not be available in certain jurisdictions due to applicable legal, regulatory, or payment processor requirements. Users shall not access or use the platform for any prohibited or unlawful activities.
    4. All payments, donations, and related transactions remain subject to review, verification, and compliance requirements of third-party payment processors, banking partners, and financial institutions. The Foundation does not guarantee the approval or processing of any transaction.
    5. The Foundation reserves the right to restrict, suspend, reject, or terminate access to the website, services, campaigns, donations, transactions, accounts, or platform functionality where it reasonably determines that a user has violated these Terms, applicable laws, or compliance requirements, or engaged in conduct that may harm the Foundation, its partners, or stakeholders.
  5. DONATIONS AND FINANCIAL TERMS
    1. Donations made to the Foundation are voluntary contributions intended to support its charitable objectives and do not create any contractual entitlement to goods, services, or specific environmental outcomes. Unless otherwise required by applicable law, donations are non-refundable.
    2. Donations may be utilized either directly by the Foundation or allocated to implementing partners for the execution of environmental initiatives. Users acknowledge and agree that funds may be pooled and allocated based on programmatic priorities and operational requirements.
    3. Donation processing is conducted through third-party service providers, and the Foundation does not collect or store sensitive financial information. The Foundation may retain limited transaction-related information for administrative and compliance purposes.
    4. Users are responsible for ensuring the accuracy of donation details and for determining any tax implications in their respective jurisdictions. The Foundation reserves the right to refuse or cancel donations where necessary to comply with legal or regulatory obligations.
  6. INTELLECTUAL PROPERTY
    1. All content made available through the Foundation’s website is the property of the Foundation or is used under appropriate license and is protected by applicable intellectual property laws.
    2. Users are granted a limited right to access and use such content for personal, non-commercial purposes. Any unauthorized use, reproduction, or distribution is prohibited.
  7. USER-SUBMITTED CONTENT
    1. Users may submit content such as messages or dedications in connection with donations or participation in initiatives. By submitting such content, users grant the Foundation and its implementing partners a non-exclusive, royalty-free, worldwide license to use, reproduce, and display such content for purposes related to program implementation, reporting, or acknowledgment.
    2. Users are responsible for ensuring that such content complies with applicable laws and does not infringe upon the rights of any third party.
  8. THIRD-PARTY SERVICES AND PARTNER FRAMEWORK
    1. The Foundation may engage third-party service providers and implementing partners for the delivery of its services. Such entities may operate under their own policies, procedures, and operational frameworks.
    2. To the extent that users interact with or are affected by services delivered through such partners, users agree that additional terms or conditions of such partners may apply. The Foundation does not control and is not responsible for independent acts, omissions, or policies of such third parties, except as required under applicable law.
  9. PRIVACY AND DATA PROTECTION

    The collection and processing of personal information are governed by the Foundation’s Privacy Policy, which forms an integral part of these Terms. Personal information may be shared with implementing partners strictly for purposes of program execution, administration, and reporting, in accordance with applicable data protection laws.

  10. DISCLAIMERS
    1. The Foundation’s services are provided on an “as is” and “as available” basis. The Foundation makes no representations or warranties regarding the accuracy, completeness, or availability of its services.
    2. Users acknowledge that environmental initiatives implemented through third-party partners are subject to uncertainties inherent in ecological systems and field-level execution. Accordingly, the Foundation does not guarantee specific environmental outcomes, including tree survival rates, carbon offsets, or impact metrics.
  11. LIMITATION OF LIABILITY
    1. To the fullest extent permitted by law, the Foundation shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the use of its services.
    2. The Foundation shall not be liable for acts, omissions, delays, or performance issues attributable to implementing partners where such matters are outside the Foundation’s reasonable control.
    3. In no event shall the total liability of the Foundation exceed the amount of any donation made by the user giving rise to the claim.
  12. INDEMNIFICATION

    Users agree to indemnify and hold harmless the Foundation and its directors, officers, employees, partners, and implementing organizations from any claims arising out of the user’s violation of these Terms, misuse of services, or infringement of third-party rights.

  13. INTERNATIONAL USE

    The Foundation operates globally, and users are responsible for ensuring compliance with applicable local laws when accessing or using the services.

  14. TERMINATION

    The Foundation reserves the right to suspend or terminate access to its services at its discretion, particularly in cases of violation of these Terms or where necessary for legal or operational reasons. Certain provisions shall survive termination.

  15. FORCE MAJEURE

    The Foundation shall not be liable for delays or failures resulting from events beyond its reasonable control, including natural disasters, governmental actions, cyber incidents, or failures affecting third-party implementing partners.

  16. GOVERNING LAW AND JURISDICTION

    These Terms shall be governed by the laws of the State of Delaware, United States, and disputes shall be subject to the exclusive jurisdiction of courts located in Delaware, unless otherwise required by applicable law.

  17. CHANGES TO TERMS

    The Foundation may update these Terms from time to time. Continued use of the services constitutes acceptance of the updated Terms.

  18. ENTIRE AGREEMENT

    These Terms, together with the Privacy Policy, constitute the entire agreement between the user and the Foundation.

  19. ADDITIONAL PROVISIONS
    1. Nothing in these Terms shall be construed as creating any partnership, agency, or joint venture between the user and the Foundation or any implementing partner.
    2. Users acknowledge that project-related data, reports, and updates may be generated or provided by implementing partners, and while reasonable efforts are made to ensure accuracy, such information may be subject to limitations inherent in field-level data collection and reporting.
